1. Acceptance of Terms

By accessing and using the Quocommerce website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Quocommerce Technology Solutions Pvt Ltd provides AI development, software development, digital marketing, and business automation services. Our services include but are not limited to:

• AI and machine learning development
• Custom software development
• Ecommerce solutions and Shopify development
• Facebook marketing, Instagram marketing, and Google marketing
• Marketing automation and CRM solutions
• Web and mobile application development

3. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Quocommerce's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

4. Service Engagement

4.1 Project Initiation

All projects begin after receipt of the agreed-upon deposit and signed agreement. Project timelines and deliverables will be specified in individual project agreements.

4.2 Client Responsibilities

Clients are responsible for:

• Providing timely feedback and approvals
• Supplying necessary content and materials
• Maintaining project communication
• Meeting payment obligations as agreed

5. Payment Terms

Payment terms are as follows:

• 50% deposit required to commence work
• Remaining balance due upon project completion
• Additional work or revisions may incur additional charges
• Late payments may result in project suspension

6. Intellectual Property

6.1 Client Ownership

Upon full payment, clients own the final deliverables created specifically for their project. This includes custom code, designs, and content created exclusively for the client.

6.2 Quocommerce Rights

Quocommerce retains rights to:

• Portfolio display of completed work
• Reusable code libraries and frameworks
• General design concepts and methodologies
• Case studies and testimonials

7. Confidentiality

We maintain strict confidentiality regarding client information, business strategies, and project details. Non-disclosure agreements may be executed for sensitive projects.

8. Warranty and Support

8.1 Service Warranty

We provide a 30-day warranty period for all deliverables. During this period, we will fix any bugs or issues related to our work at no additional cost.

8.2 Ongoing Support

Post-launch support and maintenance services are available under separate agreements. Emergency support may incur additional charges.

9. Limitation of Liability

Quocommerce shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your use of our services.

10. Indemnification

You agree to defend, indemnify, and hold harmless Quocommerce and its employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services.

11. Termination

Either party may terminate the service agreement with written notice. Upon termination:

• Client remains responsible for payment of work completed
• Quocommerce will deliver all completed work
• Intellectual property rights transfer as per agreement

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, fire, natural disasters, or government actions.

13. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
